Welcome to Nexlayo Technologies. These terms and conditions outline the rules and regulations for the use of Nexlayo Technologies' Website, Services, and Software Products, located at www.nexlayo.com.

By accessing this website and utilizing our services, we assume you accept these terms and conditions. Do not continue to use Nexlayo Technologies if you do not agree to take all of the terms and conditions stated on this page.

1. Terminology

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company’s terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to Nexlayo Technologies. "Party", "Parties", or "Us", refers to both the Client and ourselves.

2. IT Services & Development Contracts

When engaging Nexlayo Technologies for web development, app development, cloud infrastructure, or custom software projects:

• A detailed Statement of Work (SOW) or Project Proposal will be provided and must be signed by both parties before work commences.
• Any changes to the scope of work after project initiation will be subject to additional charges and timeline extensions (Change Requests).
• Delivery timelines provided are estimates. While we strive to meet all deadlines, unforeseen technical challenges may require timeline adjustments.

3. Payment Terms

Unless otherwise specified in a custom agreement:

• A non-refundable advance payment (usually 30% to 50%) is required to commence any development project.
• Subsequent payments are tied to predefined project milestones.
• Final deployment and handover of source code (if applicable) will only occur after full and final settlement of all pending invoices.
• Invoices are due within 7 days of receipt. Late payments may incur a penalty fee as outlined in your specific contract.

4. Intellectual Property Rights

Unless otherwise stated, Nexlayo Technologies and/or its licensors own the intellectual property rights for all material on Nexlayo Technologies (including our proprietary tools like Salon Core). All intellectual property rights are reserved.

Custom Client Projects: Upon full payment for custom development services, the intellectual property rights for the custom codebase, designs, and assets created specifically for the Client will be transferred to the Client, unless specified otherwise in a separate licensing agreement. Nexlayo retains the right to use non-proprietary boilerplate code, libraries, and frameworks used across multiple projects.

5. Limitations of Liability

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. In no event shall Nexlayo Technologies, nor its directors, employees, or partners, be liable for any indirect, consequential, or special liability arising out of or in any way related to your use of our software or services.

6. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the State of Assam, India, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Assam for the resolution of any disputes.
